The South Florida Railroad Company was incorporated on under the general incorporation laws of Florida, and built a railroad from Sanford to Kissimmee.

Florida state law chapter 3491, approved March 5, 1883, reincorporated the company and extended the route, to be owned by J. E. Ingraham, C. C. Haskill, F. H. Rand, B. R. Swoope, of the county of Orange, in this State, and R. M. Pulsifer, E. B. Haskill and C. H. Andrews, of the State of Massachusetts,

The railroad was promised land grants along its line, provided that it be built to Bartow by January 1, 1884, and Tampa by January 1, 1885 or connected with another railroad for that purpose.

Florida state law chapter 3789, approved May 28, 1887, legalized the change to standard gauge in 1886,
