Acquisition of DoYouDo, Inc.: On September 25, 2000, the Company acquired 100% of the outstanding shares of capital stock of DoYouDo, Inc. (“DoYouDo”) an Internet match-making service aimed at the youth market. The purchase price was contingent upon the Company acquiring a separate entity, eCrush, before May 30, 2001, and was to range from $1,820,000 to $1,820,000 plus 70% of the difference between $5,000,000 and the actual purchase price of eCrush, if it was less than $5,000,000. The purchase price was to be paid in shares of the capital stock of the Company at the earlier of May 30, 2001 or the successful purchase of eCrush. The acquisition has been accounted for by the purchase method of accounting which resulted in intangible assets, principally goodwill, in an amount approximating the purchase price that is being amortized over a period of five years. Amortization expense for the year ended December 31, 2001 was $395,341. There was no amortization in the year ended December 31, 2002 in accordance with the guidelines of SFAS 142. During the year ended December 31, 2001, pursuant to terms set forth in succeeding amendments to the acquisition agreement with several of the previous shareholders of DoYouDo, the purchase price to be paid was reduced. Accordingly, under the guidance of APB 16, as the adjustment was within a year of the acquisition, the purchase price allocation has been adjusted, thereby reducing the related intangible, and amortization expense. During the year ended December 31, 2002, the Company settled with several of the former shareholders of DoYouDo who were due shares of the Company, for cash payments. As these settlements exceeded the one year adjustment period, a gain on settlement has been recognized on the accompanying financial statements. See accompanying accountants’ review report.

[edit]I was quite surprised to learn they had patenrs since other then the fact this seems obvious and something that shouldn't be patentable (close to but not quite as bad as the 1 click patent) which the USPO doesn't seem to really care about, I was also quite sure that this was an existing idea. However look at the patent it was filed in Jan 1997 and although I remember websites in around 1998-1999, I don't know about 1997. I also remember some joke sites where you got a message saying someone had a crush on you then you were supposed to enter the people you had a crush on and what would happen would be the person who sent the joke would get the list! Anyway does anyone know if there is any resonable claim that this had already been done before? Nil Einne 10:38, 27 October 2005 (UTC)
